Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Webit information technology inc. ("WebitPay", "we", "us", "our"), governing your access to and use of WebitPay's website, platform, and payment services (collectively, the "Services").
By creating an account, submitting an application for a card product, or otherwise accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Services.
Eligibility
To be eligible to use WebitPay Services, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction, if higher)
- Be a natural person acting in your own capacity, or an authorised representative of a duly registered legal entity
- Not be resident in, or a national of, a jurisdiction subject to applicable sanctions that prohibit the provision of our Services
- Not be listed on any applicable sanctions, prohibited persons, or watchlist maintained by applicable sanctions or prohibited persons lists
- Successfully complete WebitPay's identity verification and onboarding process
- Comply with all applicable laws in your jurisdiction of residence relating to the use of digital payment services
WebitPay reserves the right to decline any application, restrict Services, or terminate accounts if eligibility requirements are not satisfied, or where applicable compliance obligations so require.
Description of Services
WebitPay provides a digital payment platform that enables eligible users to link digital asset balances to a payment card product. Cards are issued by WebitPay's issuing partners and operate on the Visa network, providing acceptance at Visa-supported merchant locations globally.
The scope and availability of specific Services, including card features, supported assets, transaction limits, and geographic availability, may vary and are subject to the terms of any supplemental product agreement provided to you at onboarding.
Account Registration & KYC
Account Creation
To access WebitPay Services, you must create an account and complete our identity verification process. You agree to provide accurate, current, and complete information during registration and to keep such information updated throughout the duration of your relationship with us.
Identity Verification
All users must successfully complete Know Your Customer (KYC) verification before account activation. This process requires submission of government-issued identification and such other information as WebitPay or its verification partners may reasonably require to satisfy applicable regulatory obligations. WebitPay may request additional information at any time.
Account Security
You are responsible for maintaining the security and confidentiality of your account credentials. You must notify WebitPay immediately at support@webitpay.net if you suspect any unauthorised access to your account. WebitPay will not be liable for losses arising from unauthorised access where you have failed to maintain adequate account security.
Card Usage
Your WebitPay card may be used at Visa-supported merchant locations for purchases of goods and services in accordance with these Terms and any supplemental card product agreement.
Authorised Use
You may use your card solely for lawful personal or business expenditure. You authorise WebitPay and its issuing bank partners to debit your linked account balance in connection with any transaction you initiate using the card.
Transaction Limits
Transaction, daily, and monthly spending limits apply to your card and may be set, modified, or temporarily reduced by WebitPay or the issuing institution at any time, including for compliance, fraud prevention, or risk management purposes.
Declined Transactions
WebitPay or the issuing institution may decline transactions that violate these Terms, applicable law, card scheme rules, or our compliance policies. WebitPay does not guarantee acceptance at any particular merchant or location.
Fees & Charges
Applicable fees for WebitPay Services are set forth in the Fee Schedule provided to you as part of the onboarding documentation and incorporated herein by reference. Fees may include, without limitation: card issuance fees, monthly maintenance fees, foreign transaction fees, ATM withdrawal fees, and any applicable conversion or service charges.
WebitPay reserves the right to modify its fee schedule at any time upon reasonable notice. Continued use of the Services following notice of a fee change constitutes acceptance of the revised fees.
All fees are non-refundable except as expressly stated in the applicable product agreement or as required by applicable law.
Prohibited Use
You agree not to use WebitPay Services for any unlawful purpose or in any manner inconsistent with these Terms. Without limiting the foregoing, you must not use the Services:
- In violation of any applicable law, regulation, or rule, including AML, sanctions, or consumer protection law
- To engage in, facilitate, or conceal any fraudulent, deceptive, or money laundering activity
- To transact with any person or entity subject to applicable sanctions or on a prohibited persons list
- To fund, support, or finance any activity associated with illegal or fraudulent activity, or other illegal activity
- To circumvent any transaction monitoring, compliance screening, or fraud detection system
- To provide false, misleading, or inaccurate information to WebitPay at any time
- In any manner that could damage, disable, or impair the WebitPay platform or infrastructure
Violation of this section may result in immediate account suspension or termination and pursuit of any available legal remedies.
Suspension & Termination
WebitPay may suspend or terminate your account and access to Services at any time, with or without notice, for any of the following reasons:
- Actual or suspected breach of these Terms
- Failure to satisfy or maintain eligibility requirements
- Compliance obligations, including AML, sanctions, or fraud investigation requirements
- Request by a regulatory or law enforcement authority
- Insolvency, bankruptcy, or similar proceeding
You may request account closure at any time by contacting support@webitpay.net. WebitPay may retain records and delay closure where required for compliance or legal purposes.
Provisions of these Terms that by their nature should survive termination shall do so, including limitations of liability, indemnification, and governing law.
Limitation of Liability
To the fullest extent permitted by applicable law, WebitPay's aggregate liability to you for any claim arising from or related to these Terms or the Services shall not exceed the total fees paid by you to WebitPay in the twelve months preceding the claim.
In no event shall WebitPay, its directors, officers, employees, or agents be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of business opportunity, even if WebitPay has been advised of the possibility of such damages.
These limitations apply regardless of the theory of liability and do not limit any rights you may have under mandatory applicable consumer protection law.
Dispute Resolution
In the event of any dispute relating to the Services, users are encouraged to contact WebitPay first at support@webitpay.net so that we may attempt to resolve the matter in good faith.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.
Amendments
WebitPay reserves the right to modify these Terms at any time. When we make material changes, we will provide notice by updating the effective date above and, where appropriate, by notifying you via email or account notification.
Your continued use of the Services following the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to any amended Terms, you must cease using the Services and request account closure.
